Terms of Service for YesUWon

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and YesUWon (“we,” “us,” or “our”), governing your access to and use of the website yesuwon.com (the “Site”), the “YesUWon Sweepstakes Manager” software, and any related services (collectively, the “Services”).

Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and User Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.

Certain features may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

2. Services Description

  • The Site provides information, curated links to third-party sweepstakes, contests, and related websites.
  • We sell and license the “YesUWon Sweepstakes Manager” software (a tool for managing sweepstakes-related activities).

Important: We do not operate, host, or conduct any sweepstakes or contests ourselves. All linked sweepstakes are operated by independent third parties. We make no representations or warranties about the legitimacy, fairness, prizes, or outcomes of any third-party sweepstakes. Participation in any linked sweepstakes is solely at your own risk and subject to the third party’s rules.

3. Software License

When you purchase a license for the YesUWon Sweepstakes Manager:

  • We grant you a limited, non-exclusive, non-transferable, revocable license to use the software for your personal or internal business purposes, subject to the terms of the specific license purchased.
  • You may not: copy, modify, reverse engineer, distribute, sublicense, rent, lease, or create derivative works of the software, except as expressly permitted.
  • Ownership of the software and all intellectual property rights remain with us.

License terms (duration, scope, restrictions) are specified at the time of purchase and may vary by plan.

4. Payments and Refunds

  • All payments are processed through third-party providers. Prices are as listed on the Site and may change.
  • You authorize us (or our providers) to charge your payment method for the amounts due.
  • Refunds: “No refunds on digital software licenses unless otherwise stated. Contact us for support issues within 14 days of purchase.” All sales are final unless required by applicable law.
  • Subscriptions (if applicable) auto-renew until canceled. You are responsible for canceling before renewal to avoid charges.

Taxes and fees are your responsibility unless stated otherwise.

5. Intellectual Property

All content on the Site (text, graphics, logos, software, etc.) is owned by us or our licensors and protected by copyright, trademark, and other laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Limited permission is granted to view and print pages for personal, non-commercial use, provided you retain all copyright notices.

6. User Conduct and Prohibited Activities

You agree not to:

  • Use the Services for any illegal purpose or to promote illegal activities.
  • Violate any applicable laws, including those related to sweepstakes, gambling, advertising, or data privacy.
  • Provide false or misleading information.
  • Interfere with the security or operation of the Services.
  • Attempt to gain unauthorized access to any part of the Services.

We reserve the right to terminate or suspend your access for violations.

The Site contains links to third-party websites. We are not responsible for their content, privacy practices, or services. Your interactions with them are governed by their terms and policies.

8. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. We disclaim all warranties regarding accuracy, reliability, merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that:

  • The Site or software will be error-free or uninterrupted.
  • Linked sweepstakes are legitimate or that you will win prizes.
  • Software will meet all your requirements.

9. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data loss, or business interruption) arising from or related to the Services, even if advised of the possibility. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim (or $100 if no payment was made).

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause. Upon termination, your right to use the Services ceases immediately, but licenses already granted for paid software may continue subject to their terms. Provisions that by nature should survive (liability, IP, indemnification, etc.) will survive termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on the Site and updating the Effective Date. Continued use after changes constitutes acceptance.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Virginia, United States, without regard to conflict of laws principles.

Any disputes shall be resolved exclusively in the courts located in Fairfax, Virginia. You agree to submit to the personal jurisdiction of those courts.

14. Miscellaneous

  • These Terms constitute the entire agreement between you and us.
  • If any provision is invalid, the remainder remains in effect.
  • Our failure to enforce a right does not waive it.
  • We may assign these Terms; you may not without consent.
